Dear Board Members:
Enclosed is the “Final”
draft of the proposed Bylaws. This draft corrects the
mistakes in the draft sent to you with a ballot last Friday
(February 21st) as to the percentage of votes necessary for
certain actions by the members – for removal of Delegates,
and amendments to the Bylaws and Articles. We have also cleaned
up several ambiguities in language, distinguishing the role
of Delegates as representatives of the Members in the election
of Directors, from their role as members of standing committees
of the Board of Directors on the Local Station Boards, and
we have reversed the order of Article 4 (Election of Delegates)
and Article 5 (Local Station Boards), as the more logical
order.
Please destroy the draft you previously received and use
this draft with the ballot attached to it if you vote by mail.
As you know, in order to be adopted, these bylaws require
the vote of approval of 2/3rds of the Interim Board of Directors
present and voting (or voting by mail), and certain sections
require the approval of at least three of the five Local Advisory
Boards.
If you are unable to attend the board meeting in Los Angeles
on March 7-9, you may vote to adopt or reject these bylaws
by mail. I have enclosed a ballot for you. The ballot must
be received by the board Chair BEFORE the commencement of
the meeting in order to be counted. As the meeting will commence
Friday evening, March 7th, at 6:30 p.m., your ballot must
be received no later than that date and time. To insure that
the board Chair receives your ballot in time to be counted,
please mail or Fed Ex it to our Los Angeles board member,
Dave Fertig. Dave will deliver all ballots he receives to
the Board Chair prior to the commencement of the board meeting
Friday evening, March 7th.
I recommend these bylaws to you as the best compromise possible
among the various interests and parties involved. I believe
we have all done admirable and difficult work in reaching
these compromises through dialogue and good will – in
the best spirit of Pacifica – and that these bylaws
deserve your vote of approval.
